Chen Ye joined Gusrae, Kaplan, Bruno & Nusbaum PLLC in 2008 as an associate in the firm's corporate/securities transaction group. Her practice primarily focuses on capital market, and she is responsible for the following duties:

• Drafting disclosure documents with SEC;
• Conducting research on U.S. Securities regulations and relevant Chinese regulatory rules and regulations that govern overseas investments to Chinese business;
• Preparing investments documents for Chinese entity's IPO and reverse merger;
• Communicate with Mandarin-speaking clients and our firm;
  
• Actively involving in negotiations of terms and conditions with Mandarin-speaking clients to facilitate the consummation of private placements, reverse merger transactions and
• Other general corporate counseling.

Ms. Ye graduated from China University of Political Science and Law (LL.B) and New York University School of Law (LL.M). Ms. Ye was admitted to practice in the State of New York. Ms. Ye is the member of the American Bar Association, the New York State Bar Association and China Business Lawyer Association.

表格；调查研究中美相关证券法律法规；为中国企业的首次公开上市及反向收购准备相关文件；负责律
师事务所与中国客户的交流协商；积极协助中国企业在私募融资、反向收购交易中的谈判，相关文件的
准备以及为其他公司业务咨询。
 
叶律师毕业于中国政法大学国际经济法学院以及纽约大学法学院，并获得纽约州律师执照。叶律师是美
国法律协会，纽约州法律协会以及旅美中国律师协会成员。
